This Opportunity:
The General Counsel will serve as a strategic advisor and trusted confidant to the Chief Executive Officer as a proactive business partner in the company’s strategic mission and will work in close partnership with the Executive Management Team (EMT) and the Board of Directors. This position requires a highly respected attorney who combines an incisive legal mind with excellent judgment, a keen business acumen, and the highest ethical standards. The successful candidate must possess extensive experience in assessing, anticipating, and navigating legal and business issues, identifying risks and potential liabilities, and developing innovative solutions as it pertains to Mergers and Acquisitions (M&A) due diligence activities including contractual review, negotiations, employee ownership structures, capital structures, financing options, and structuring ownership agreements.
The General Counsel manages the corporate legal strategy to facilitate business, serves as corporate secretary, and will have oversight of all legal affairs for the Palladium business.

Reporting and Supervision:
This position reports to the CEO
Primary Duties and Responsibilities:
Board of Directors liaison (attendance at Board and Committee meetings, maintaining corporate files, reports, and keeping the Board and Committee minutes)
Supervise all litigation and contractual disputes at the Parent Company level and render assistance, as required, to the subsidiaries
Participate in formulating policies, procedures, codes of conduct, and other foundational documents
Provide legal review and sign-off on corporate contracts and negotiate complex contracts with external parties
Act as administrator and custodian of records for shareholder, employee benefit, and other related documents
Works with both internal and external counsel as well as part of the EMT on M&A strategies, analysis of candidate firms, negotiations, LOI due diligence, document preparation, etc.
Evaluate and review employee ownership structures and capital/financing structures as it pertains to M&A due diligence
Financing (strategies, credit agreements/facilities)
Participate in the development of the Corporate Strategic plans
Provide oversight of operating companies’ legal and compliance matters to ensure they are effective
Develop, with the EMT, effective employee share programs and with subsidiary companies, the share offerings for employees
Work with CFO & tax counsel to establish an effective corporate structure for the Company and its subsidiaries (domestic and international)
Intellectual property management
Supervise and maintain control over the cost of outside counsel and related service providers
Facilitate communication and collaboration among diverse areas of the company to ensure obligations are appropriately addressed
Provide input for the annual legal budget and related costs
Key Competencies Required:
Experience with a broad portfolio of issues in the government contracts (USAID, FCDO, etc.) and commercial services sector is required along with a proven understanding of the legal factors influencing the industry
Extensive experience as a practicing attorney
Experienced in managing outside counsel and supervising staff
Has been an integral part of a management team involved in M&A transactions
Knowledge and understanding of the international development sector specifically as it relates to risk management, contract administration, M&A legal support, and other legal considerations
Experience navigating complex legal issues impacting the international development sector
Experience conducting M&A due diligence activities including contractual review, negotiations, employee ownership structures, capital structures, financing options, and structuring ownership agreements
Positive team player and collaborator
Strong legal and business risk identification, assessment, and mitigation skills
Business acumen and ongoing commitment to a mindset that facilitates the business
Strong understanding of corporate governance and a solid grasp of how corporate legal functions interface with Tax, Human Resources, Finance, etc.
Excellent communication skills, with the ability to translate complex issues into understandable and executable advice
Proven track record as a trusted advisor and confidant with exceptional judgment
Professional demeanor, credibility, and reliability

J.D. from an accredited law school
